Acceptance of Terms
By purchasing, accessing, or using any services from A&S Ai Solutions (“we,” “us,” “our”), the client (“you,” “Client”) agrees to these Terms & Conditions.

Services
We provide, as defined in our written proposal:

Websites: Landing One-Page and Multi-Page sites, delivered finished and locked (not editable by the client).
Content production & video editing for social media.
Ad management on Meta (Facebook/Instagram) or TikTok (media/ad spend excluded).
Shopify store setup (theme configuration, basic catalog, basic payments and shipping).
Any service not expressly listed in the signed proposal is out of scope and must be quoted separately.

Scope, Timelines, and Changes
Scope (pages/sections, number of assets, rounds of revisions, and delivery dates) is defined in our proposal. Client-requested changes outside scope are billed as change orders and may extend timelines. Timelines assume timely Client feedback and access/materials.

Deliverables and Revisions
Websites are delivered finished and locked with the agreed copy and images; later edits constitute new work. Content/video packages include the stated revision rounds per piece/batch (typically 1–2). “Revision” means adjustments to the delivered piece, not a new concept. Written approval by email/chat constitutes acceptance.

Fees, Deposits, and Invoicing
Unless otherwise stated, a 50% non-refundable deposit is required to start and 50% at delivery (or milestone billing per proposal). Monthly retainers (ads, content) are billed in advance. Invoices are due upon receipt (or within 7 calendar days if specified). Late payment may pause work and incur reasonable late fees. Prices are in the currency stated and exclusive of taxes unless noted.

Advertising Spend (Media)
Ad spend is paid directly by Client to the platforms (Meta/TikTok). We manage and optimize campaigns but do not guarantee specific results (e.g., ROAS, CPA, leads, sales).

Client Responsibilities
Client will provide, on time: account access (domains/hosting, social profiles, ad accounts, Shopify, payment gateways), brand assets (logos, colors, fonts), product/service information, and approvals/feedback within reasonable timeframes. Delays may extend timelines and trigger change orders.

Intellectual Property
Client represents they own or hold licenses to all materials they provide and will indemnify us against third-party claims arising from Client-provided materials. Upon full payment, Client receives a non-exclusive, perpetual license to use the final deliverables for Client’s business. Our pre-existing IP, internal workflows, templates, project/source files, and editable files are not transferred unless expressly purchased in writing.

Third-Party Platforms and Dependencies
We may rely on third parties (hosting, domains, analytics, Meta, TikTok, Shopify, payment gateways, email providers, fonts, stock libraries, etc.). We are not liable for outages, policy changes, feature limits, or interruptions of such services.

Confidentiality and Data
We keep Client’s non-public information confidential and use it solely to perform the services. Personal data, if any, is handled per our Privacy Policy (link to be provided on the site).

Warranties and Disclaimers
Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee rankings, traffic, ROAS/CPA, or any specific outcomes.

Limitation of Liability
To the maximum extent permitted by Nevada law, our total liability for any claim is limited to the fees actually paid by Client to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, punitive, or lost-profits damages.

Cancellations, Pauses, and Refunds
The deposit is non-refundable once work begins. If Client cancels after start, work performed and reserved time/resources will be billed; partial deliverables may be provided as-is upon settlement. Projects inactive 30+ days due to missing inputs/feedback may be closed; reactivation may require a new quote and timeline. See our Refund Policy for details.

Service-Specific Terms
Websites (One-Page & Multi-Page): delivered finished and locked with agreed copy/images; basic on-page SEO (titles, meta descriptions, favicon) unless otherwise specified.
Ad Management (Meta or TikTok): Client selects one platform per package; Both Platforms is an add-on billed separately. We apply reasonable best practices and A/B testing.
Shopify Setup: includes theme configuration, basic catalog (up to the quantity stated in the proposal), basic payments/shipping, and templated legal pages using Client-provided content. Client is responsible for taxes, legal texts, and policies.

Relationship of the Parties
We act as an independent contractor, not as Client’s employee, partner, or agent. Client remains responsible for its own compliance (taxes, licenses, etc.).

Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., outages, natural events, labor issues, government actions). Performance is excused for the duration of the event.

Governing Law and Venue (Nevada)
These Terms are governed by the laws of the State of Nevada. Exclusive venue lies in the state or federal courts of Clark County, Nevada (Las Vegas). Each party consents to such jurisdiction and venue.

Modifications
We may update these Terms from time to time. The “Last updated” date will change when posted. Material changes to active projects will be communicated in writing.

Severability and Entire Agreement
If any provision is unenforceable, the remainder remains in effect. These Terms, together with the signed proposal/Statement of Work, constitute the entire agreement and supersede prior discussions.
